Non-Disclosure Agreement (NDA) Policy
Ecologic Designs Team will not disclose any information to anyone with another organisation or member of the Public about the Project that is being undertaken by the Company that they are working with.
This Non-Disclosure Agreement (“NDA”) is entered into on [Date] between Ecologic Designs Europe Limited (“Ecologic Designs Europe”) and All Clients referred to as : (“Recipient”).
1. Purpose of NDA
The purpose of this NDA is to establish a confidential relationship between Ecologic Designs and the Recipient to protect the disclosure of certain confidential and proprietary information.
2. Definition of Confidential Information**
Confidential Information includes, but is not limited to, proprietary business information, trade secrets, designs, concepts, strategies, financial data, customer lists, marketing plans, product specifications and any other information that is not generally known to the public.
3. Obligations of the Recipient
The Recipient agrees to:
3.1. Confidentiality:
Maintain the confidentiality of the disclosed Confidential Information and not disclose, reproduce or use the information for any purpose other than the intended business relationship.
3.2.Restricted Access:Limit access to the Confidential Information only to employees or authorised representatives who have a legitimate need to know.
3.3. Protection: Take reasonable measures to protect the Confidential Information from unauthorised disclosure or use, using at least the same degree of care as it uses to protect its own confidential information.
4. Exclusions from Confidential Information
The obligations under this NDA do not apply to information that:
4.1. Was rightfully known to the Recipient without restriction before receipt from Ecologic Designs.
4.2. Is or becomes public knowledge through no fault of the Recipient.
4.3. Is independently developed by the Recipient without reference to or reliance upon the disclosed Confidential Information.
4.4. Is rightfully obtained by the Recipient from a third party without restrictions on disclosure.
5. Duration of Confidentiality Obligations
The confidentiality obligations under this NDA shall remain in effect for a period of [Specify Duration] from the date of disclosure or until such time as the Confidential Information becomes public knowledge through no fault of the Recipient.
6. Return or Destruction of Confidential Information
Upon termination of the business relationship or at the request of Ecologic Designs, the Recipient shall promptly return or, at the discretion of Ecologic Designs, destroy all copies of the Confidential Information.
7. Governing Law and Jurisdiction
This NDA shall be governed by and construed in accordance with the laws of the UK. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.
8. Miscellaneous
8.1. Amendments: Any amendments to this NDA must be in writing and signed by both parties.
8.2. Entire Agreement:
This NDA constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior discussions, negotiations, and agreements.
