Trademark and Intellectual Property (IP) Usage Policy
This Trademark and Intellectual Property (IP) Usage Policy (“Policy”) is entered into on [Date] between Ecologic Designs Europe Limited (“Ecologic Designs”) and [All Customers] (“Client”).
*. Purpose of Policy
The purpose of this Policy is to establish clear guidelines for the use of the Client’s Trademarks and Intellectual Property by Ecologic Designs in the course of providing services. This Policy ensures the protection of the Client’s brand and proprietary information while allowing Ecologic Designs to fulfill its contractual obligations.
2. Definitions
2.1. Client’s Trademarks:
Refers to any trademarks, service marks, logos, or other brand identifiers owned or licensed by the Client.
2.2. Client’s IP: Refers to any intellectual property, including but not limited to patents, copyrights, trade secrets, designs, and any proprietary information owned or licensed by the Client.
3. Usage of Trademarks and IP
3.1. Scope of Usage:
Ecologic Designs is granted a non-exclusive, non-transferable license to use the Client’s Trademarks and IP solely for the purpose of carrying out the agreed-upon work as specified in the relevant project or service agreement.
3.2. Limitation of Use:
Ecologic Designs shall not use the Client’s Trademarks or IP for any purpose other than the specified work, and shall not transfer, sublicense, or assign the use of such Trademarks or IP to any third party without the prior written consent of the Client.
3.3. Quality Control:
Ecologic Designs shall ensure that its use of the Client’s Trademarks maintains the high quality and standards associated with the Client’s brand.
4. Removal of Trademarks and IP
4.1. Post-Completion:
Upon completion of the agreed-upon work, Ecologic Designs undertakes to promptly cease all use of the Client’s Trademarks and IP.
4.2. Removal from Devices:
Ecologic Designs shall, within a reasonable timeframe after completion of the work, remove all instances of the Client’s Trademarks and IP from any devices, materials, or deliverables provided to the Client.
5. Ownership and Non-Disclosure
5.1. No Transfer of Ownership:
Nothing in this Policy shall be construed as a transfer of ownership of the Client’s Trademarks or IP to Ecologic Designs.
5.2. Confidentiality:
Ecologic Designs shall treat the Client’s Trademarks and IP as confidential information and shall not disclose or use such information for any purpose other than the agreed-upon work.
6. Compliance with Laws
6.1. Legal Compliance:
Ecologic Designs agrees to comply with all applicable laws, regulations and industry standards related to the use of Trademarks and IP.
7. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of the UK. Any disputes arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts in the UK.

The parties hereto have executed this Trademark and Intellectual Property Usage Policy as of the Effective Date.
